(‘Merger Sub’), a Cayman Islands exempt company and a wholly-owned subsidiary of iClick and Amber DWM Holding Limited (‘Amber DWM’). Amber DWM is a Cayman Islands exempt company and the holding entity of Amber Group’s digital wealth management business, known as Amber Premium (‘Amber Premium’). According to the merger protocol, the merger subsidiary will merge with Amber DWM, and Amber DWM will continue to exist as a subsidiary of the Company (‘Merger’). Shareholders of Amber DWM will exchange all of Amber DWM’s issued and outstanding shares for the Company’s newly issued Class A and Class B common shares in accordance with the terms and conditions set forth in the merger protocol, and the transaction is not subject to registration requirements under the Securities Act of 1933. The equity value of the Company is $40 million, and the equity value of Amber DWM is $360 million (assuming certain reorganizations specified in the merger protocol are completed). After the merger is completed, Amber DWM shareholders and iClick shareholders (including ADS holders) will hold approximately 90% and 10% of the outstanding shares of the merged company, or approximately 97% and 3% of the voting rights, respectively. The merger protocol also provides that after the completion of the merger (‘Completion’), the Company will be renamed ‘Amber International Holding Limited’ and will immediately adopt the outline and rules of the Company’s tenth amended and restated articles of incorporation before the effective time of the merger. Thereafter, the authorized capital of the Company will consist only of Class A common shares and Class B common shares (with different voting rights but equal economic rights), with a par value of $0.001 per share.
