COSCO SHIPPING Holdings Announces Transfer of Shares from Controlling Shareholder

March 3, 2023 — COSCO SHIPPING Holdings Co., Ltd. (Stock Code: 01919.HK) announced that on December 31, 2025, the company received a notice from its controlling shareholder, China COSCO Shipping Corporation Limited (referred to as “COSCO Shipping” or “the Company”), that it has transferred its 2,610,063,089 A-shares in the company free of charge to China Ocean Shipping Group Limited (referred to as “COSCO Shipping Group”). Details of this state-owned share transfer are disclosed in the company’s “Notice on the Transfer of Shares Without Compensation by the Controlling Shareholder and Change of Direct Controlling Shareholder,” published on the Shanghai Stock Exchange website (www.sse.com.cn) (Announcement No.: 2026-001).

On March 3, 2026, the company received the “Share Transfer Registration Confirmation Letter” from China Securities Depository and Clearing Corporation Limited, confirming that the share transfer registration procedures have been completed.

Following this transfer, COSCO Shipping Group directly holds 3,314,809,949 A-shares in the company (approximately 21.65% of the total share capital), becoming the company’s direct controlling shareholder. Including 3,694,809,948 A-shares and H-shares held indirectly through its subsidiaries (approximately 24.13% of the total share capital), COSCO Shipping Group and its concerted parties hold a total of 7,009,619,897 A-shares and H-shares, representing about 45.78% of the company’s total share capital.
