Marvell acquired Celestial AI for $3.25B in December 2025. Celestial AI had been a long-time customer of POET since 2022 and was using POET’s technologies in its “Photonic Fabric” optical interconnect systems. Because of this, Marvell had indirectly started placing orders with POET through Celestial. POET announced that Marvell canceled all purchase orders related to Celestial AI. This cancellation also includes the initial production orders announced in 2023. Marvell’s reason: an alleged breach of POET’s confidentiality obligations, most likely something like information leakage, IP sharing, or an NDA violation. POET describes this as a cancellation specific to Celestial AI and says, “we continue serving other customers, and we also received a separate new $5M order.”
